Risk Advisory Services

Companies aspiring for an initial public offering (IPO) of their shares on the Singapore Exchange (SGX) are required under the Listing Rules to conduct a comprehensive review of their internal control system. Any internal control deficiencies arising from the review must be rectified before the IPO would be approved by the SGX.

Listed companies and institutions of a public character (IPCs), such as charities, are required to comply with the respective codes of corporate governance. Otherwise, they would have to explain why they are not in compliance.

We provide the following services to assist clients in such situations:

  • Review of the internal control system;
  • Prepare and implement an Enterprise Risk Management (ERM) framework; and
  • Establish an internal audit function and conduct ongoing internal review reviews.

Other Business Advisory Services

A sample of engagements under this broad category of services are, as follows:

  1. Corporate recovery and insolvency, where we carry out Judicial Manager as well as Receiver and Manager assignments. Additionally, we act as a Private Trustee in individual bankruptcy cases.
  2. Governance projects, for example, preparation of a policies and procedures manual.
  3. Compliance requirements, which in turn have two subsets. One arises from regulatory/statutory requirements, such as, personal data privacy and protection under the PDPA. The other emerges from contractual requirements. An illustration of this would be a contract manufacturer who needs to comply and meet with the terms and conditions set out in the contract.
  4. Process improvement to streamline the inventory management process, in order to reap performance improvement opportunities.
  5. Financial due diligence investigations relating to mergers and acquisitions.
